Purpose: Benefit of the poor and aged.

I, DOROTHY F. BADGER of Jaffrey, New Hampshire, Donor of The Dorothy F. Badger Trust - 1959 under indenture dated May 6, 1959 as amended by instruments dated November 17, 1960. January 12, 1968 and August 5, 1976, of which Bank of New England. N.A. (formerly The New England Merchants National Bank or Merchants National Bank of Boston) is the Trustee, pursuant. to Article TWELFTH thereof, do hereby further amend said indenture as heretofore amended and the trusts thereby created, as follows:

1. By deleting ARTICLE THIRD, Paragraph #2 thereof as inserted by the Third Amendment dated August 5, 1976 and inserting in place thereof the following Paragraph 2, viz:

"2. The Trustees shall distribute the balance of the remaining principal (the balance) as follows:

One-third (1/3) of the balance to TOWN OF JAFFREY, New Hampshire, the net income only therefrom to be used for the benefit of the poor and aged of said Town.

One-third (1/3) of the balance to BOYS CLUBS OF AMERICA, INC., New York, New York.

One-third (1/3) of the balance to THE CHILDREN'S HOSPITAL, Boston, Massachusetts."

2. I hereby specifically reserve the right hereafter at any time and from time to time to amend said indenture as heretofore and hereby amended and the trusts thereby created, and to revoke the same in whole or in part, all as therein provided.

3. In all other respects I hereby ratify, confirm and approve said indenture as heretofore amended by the amendments dated November 17, 1960, January 12, 1968 and August 5, 1976.
